Cartwright Pescatore and Vetrano Semeraro & Associati Dottori Commercialisti assisted the shareholders of Ceresoli Utensili S.r.l. and Lamev S.r.l. – companies operating in the production of tools, mainly in polycrystalline diamond, intended for various industrial sectors including household appliance manufacturing, aerospace, and automotive – in the sale of 100% of the share capital of both companies to Aurora Trentuno S.r.l., a newly incorporated vehicle designated by the investment fund Armònia Italy Fund II. The transaction is part of a broader project of “club deal”, in which Armònia will act as the main investor, alongside several other private investors, including the outgoing shareholders of Ceresoli Utensili S.r.l. and Lamev S.r.l. themselves, with the aim of combining, consolidating, and integrating the target companies, creating an industrial group destined to become a market leader.
The sellers were assisted by lawyers Giacomo Pescatore and Marco Zichittella of Cartwright Pescatore for legal matters and by accountants and tax advisors Antonio Vetrano and Federica Semeraro of Vetrano Semeraro & Associati Dottori Commercialisti for financial and tax matters.
